Nippon Steel and U.S. Steel initiated legal proceedings against the Biden administration to contest its decision to block their $15 billion merger. They filed a lawsuit in the U.S. Court of Appeals for the District of Columbia, arguing the decision reflected political motivations and infringed on their due process rights. The companies claimed that the merger would enhance U.S. national security by revitalizing communities reliant on American steel and bolstering the domestic supply chain against international competition, particularly from China. Nippon Steel pledged a $2.7 billion investment in U.S. Steel’s facilities in Indiana and Pennsylvania and stated that it would not reduce production capacity without government approval. President Biden's decision stemmed from a deadlock among federal regulators over the deal’s national security implications, marking the first instance of a U.S. president blocking a merger with a Japanese firm. Additionally, Nippon Steel and U.S. Steel filed legal action in Pennsylvania against Cleveland-Cliffs Inc. and its CEO for alleged anticompetitive practices aimed at obstructing the merger, which followed Cleveland-Cliffs' previous $7 billion offer for U.S. Steel.
